Minutes of Regular Vestry Meeting



All Saints' Episcopal Church By-Laws

All Saints' Episcopal Church, Pontiac, Michigan, being in Communion with the Diocese of Michigan and the Episcopal Church in the United States, declares the intention to remain in conformity with the Constitution and Canons of this Church and incorporate them herein with the following added provisions:

Of the Vestry:
To be elected a Vestry member, the candidate must be a baptized person sixteen years of age or older and a regular worshiper in the congregation for six months prior to the Annual Meeting.

Regular meetings of the Vestry shall be held at the Church at 7:15 PM on the third Monday of each month or at such other time and place as may be designated by the Vestry.

Vestry members will serve as Liaison to Standing Committees of the Parish, attend Committee meetings and aid in the implementation of their work.
Of the Rector:
The Rector has exclusive direction and control of the Sunday School of the Parish, and the appointment of its officers and teachers who assist in the work of the school. He or she is also the Spiritual head of all Guilds and other educational and charitable associations within the Parish, and which can be formed only with his or her consent, and are subject to his or her control.

Any Assisting clergy are the Rector's helpers and are directly responsible to the Rector. The Vestry determines the amount of their salary and the Rector has the right of appointment.

The Rector shall oversee filing and maintenance of all parish records and correspondence.

Of the Standing Committees of the Parish:

At the annual organization meeting of the Vestry, the following committees shall be established:

A. SERVICE - To provide opportunities for involvement in Christian social action; recommend allocation of resources for such ministry to the Vestry and congregation; to oversee All Saints' Community Services, a Michigan Corporation.
B. WORSHIP - To assist the Rector in the planning, execution and evaluation of liturgy and seasonal worship; to coordinate the groups which assist in worship and be their advocate in requesting resources.
C. EVANGELISM - To structure and execute community evangelism, inclusion of new members into our congregation, Welcome Wagon, hospitality, outreach to lapsed members; promotion of All Saints'.
D. EDUCATION/FAITH FORMATION - To plan and coordinate the total educational ministry of the Parish to all age groups.
E. PASTORAL CARE - To coordinate all pastoral care, coordinate hospital visitation, funeral receptions.
F. STEWARDSHIP - To plan and execute year-round education in proportionate giving leading to the tithe, education in planned giving, and to execute the annual Financial Stewardship Campaign to support the ongoing Parish Budget.
  1. Endowment Fund - To recommend to the Vestry how the Endowment Fund will be invested, to implement the Bequests and Special Gifts Policy of the Parish regarding gifts to the Fund, make appropriate recommendations about uses for the income, and to assist in promoting planned giving to the Parish.
  2. Finance/Budget - To manage the general funds of the Parish on an ongoing basis and to provide a tentative General Fund Budget for the Vestry's consideration every year.
  3. Personnel - To assist the Rector in determining criteria for selection, supervision and evaluation of the staff; recommend staff salaries and benefits to the Vestry.
  4. Receiving Treasurer - To recruit, train and supervise volunteers to count and deposit Sunday morning offerings, and to see that quarterly statements of pledge accounts are prepared for members.
  5. Parish Treasurer - To oversee bookkeeper and day-to-day operations at the direction of the Vestry.
  6. Memorials and Gifts - To develop an appropriate list of recommended expenditures from the Memorial Fund.

Each of the foregoing sub-committees set forth under Stewardship shall select a representative to serve on the main committee to help direct and implement its work.

G. MAINTENANCE AND REPAIR
  1. Capital Expenditures - To develop list of major repairs, receive bids and oversee their execution.
  2. Building Operations - To work with the Parish Administrator to ensure day-to-day maintenance and repairs.
  3. Insurance - To keep Vestry advised of current coverage and necessary changes.
Each of the foregoing sub-committees set forth under Maintenance and Repair are members of the Maintenance and Repair Committee and will meet together as necessary to accomplish the work of the main committee.
H. CONSTITUTION AND BY-LAWS To review Parish By-Laws and recommend changes as needed. Shall have the primary responsibility to review at least annually all changes or amendments in the Canon Law of the Diocese of Michigan and the Statutes of the State of Michigan pertinent to the conduct of the affairs of the Parish, and shall recommend to the Annual Meeting of the Parish or Special Meeting such changes or amendments of the By-Laws as in the opinion of the Committee are advisable. The convention delegates selected by the Parish shall, as a part of their duties, apprise this Committee of any changes in Canon Law brought to their attention by the Chancellor or during Diocesan Convention.

I. NOMINATING COMMITTEES
  1. For Nominations to the Vestry: Shall consist of the four retiring members of the Vestry and such other persons as the Committee wishes to appoint. The Parish at large will be formally polled for Vestry nominee recommendations. At least thirty days before the Annual Meeting the committee shall nominate, from the recommendations, a slate whose names shall appear on the Official Ballot.
  2. For Nominations to represent the Parish at the Area Council and Diocesan Convention: Shall consist of the retiring members of the Convention. At least thirty days before All Saints' Sunday they shall nominate by recommendation at least four persons of the Parish whose names will appear on the Official Ballot as recommended by the Committee.
Amendment of By-Laws
These By-Laws may be amended at any Annual Parish Meeting or special meeting, providing notice of proposed changes or amendments is posted on the bulletin board, in the hallway outside the Rose Kneale Room, at least thirty days prior to the said meeting.
